SHADO POLICIES

Shado Terms of Service

Our commitments to your work, and the terms for using Shado.

Version 2026-10-05 · Ghost Frames

1. Your work stays yours

You keep the rights you hold in your uploads. Shado claims no ownership of your content or generated work.

Rights in AI-generated outputs depend on applicable law and the model provider’s terms. Only upload content you have permission to use.

2. Shado doesn’t train on your content

Shado does not use your uploads, prompts, or outputs to train AI models.

When you use AI features, the content needed for your request is processed by third-party providers under their own terms and data policies. This is Shado’s commitment, not a guarantee about every provider.

3. Your added credits never expire

Purchased credits and credits added to your account by your workspace manager have no expiration date.

Credits are for Shado services, not cash. Managers’ separate daily allowance resets each day and does not roll over.

4. Your agreement with Shado

Welcome to Shado. Please read these terms before you continue. By selecting “Agree and continue,” you agree to these terms. Shado is operated by Ghost Frames ("we", "us", or "our"). You must be at least 18, or the age of majority where you live if higher, and legally able to enter this agreement. If you accept for a business, you must have authority to bind it.

Mandatory consumer rights and other rights that cannot lawfully be waived remain unaffected.

5. Accounts and workspace access

Provide accurate account information, protect your credentials, and use only accounts and workspaces you are authorized to access. Do not share credentials, impersonate another person, or obtain organization membership or manager privileges without authorization. Notify us promptly if you suspect your account is compromised.

Workspace invitations and manager-added credits do not authorize access to another user's private projects, media, or account.

6. Your content and generated work

You retain the rights you hold in your uploads. Shado claims no ownership of your content or generated work. You give us only the permission needed to process, store, transmit, and display your content to provide the service you request, maintain its security, and provide support. This includes necessary processing by service providers. It does not authorize unrelated marketing use of your content or AI model training by Shado.

You are responsible for your uploads, prompts, instructions, and how you use or distribute outputs. You must hold the necessary rights, permissions, or other lawful basis for using content, music, brands, and a person's image, likeness, or voice. Review outputs and obtain any necessary clearances before publication or commercial use.

AI outputs may be inaccurate, unsuitable, or similar to existing work. We do not guarantee their originality, exclusivity, copyright eligibility, non-infringement, or suitability for a particular use. Applicable law and the selected provider's terms may affect your rights. These terms do not grant rights belonging to third parties.

Shado does not use uploads, prompts, or outputs to train AI models. AI features require third-party processing under the selected providers' terms and data policies; this is not a guarantee that every provider has identical practices. The creator commitments explain this distinction.

7. Acceptable use and platform security

Use Shado lawfully and respect other people's rights. Do not use it to create, request, upload, or distribute unlawful content; infringe copyright or other rights; commit fraud; conduct deceptive impersonation; create non-consensual intimate imagery; exploit or sexualize minors; or unlawfully expose private information.

Do not access or attempt to access systems, accounts, projects, media, credentials, or data without authorization. Do not bypass authentication, permissions, content safeguards, payment controls, rate limits, quotas, or suspensions. Do not introduce malware, overload or disrupt the service, interfere with other users, or use abusive automation.

Do not knowingly exploit a vulnerability or billing error to obtain unauthorized access, credits, services, or privileges. Do not fabricate payments or credit grants, tamper with balances or usage records, replay transactions to obtain duplicate credits, avoid legitimate deductions, abuse promotions, or use multiple accounts to evade limits. Do not assist others in these activities.

Do not reverse engineer, decompile, or attempt to extract non-public service code, secrets, or proprietary systems, except where applicable law or an applicable open-source license expressly permits it. Authorized integrations and ordinary use of your own exported content remain permitted.

Security scanning, penetration testing, and exploitation require our prior written authorization. If you accidentally discover an issue, stop testing, avoid accessing or retaining other people's data, and report it to hello@ghostframes.ai. A good-faith report is welcome; reporting an issue does not authorize further testing, disruption, or use of an exploit.

8. Credits, pricing, and billing

Purchased credits and credits added by your workspace manager have no expiration date. Managers' separate daily allowances reset daily and do not roll over. Credits are for Shado services, not cash or a transferable currency; redemption and refunds required by law remain available.

Applicable prices and credit requirements are shown in the service or checkout. Only Shado's server-verified records establish valid payments, grants, reservations, and deductions. Changing browser data or a displayed balance does not create an entitlement to credits or services.

We may investigate and correct documented billing mistakes, duplicate grants, fraudulent transactions, and credits obtained without authorization. We will distinguish legitimate purchased or manager-added credits from invalid credits. Corrections do not create an expiration date for valid credits or remove refunds or other rights required by law. Contact support if you dispute a charge or adjustment.

Generation results are not guaranteed. A failed or uncertain request is handled under the service's displayed billing and recovery rules. A failed download or an unresolved result does not authorize exploiting a retry or submitting falsified billing evidence. Refund and cancellation terms applicable to a purchase must be disclosed at checkout; these terms do not impose an undisclosed blanket no-refund policy.

9. Providers, privacy, and storage

AI models and other features may rely on third-party services. Comply with applicable provider usage restrictions presented for the feature you select. Provider availability, capabilities, and policies may change. We remain responsible for our own commitments and obligations under applicable law.

Shado uses account, request, billing, and security records to operate the service and document agreement acceptance. Content necessary for a feature may be sent to the providers involved in that feature. Do not submit sensitive or confidential information unless you are authorized and the processing is appropriate for it. Contact support about privacy or deletion requests.

Keep independent backups of important work and original media. Browser-local projects and imported files are not automatically synchronized or backed up by account sign-in. Clearing browser data can remove local work, and a project export may omit imported originals or file handles. Hosted storage is not a promise of permanent archival availability.

10. Complaints, suspension, and termination

Report copyright complaints, harmful content, security issues, or billing disputes to hello@ghostframes.ai with enough information for us to investigate. Do not include passwords or unnecessary sensitive information. We may request further information and restrict or remove content where reasonably necessary or required by law. This contact process does not itself establish any statutory copyright safe harbor.

We may temporarily restrict access to address credible security risks, suspected fraud, non-payment, or material violations. We may terminate access for confirmed serious or repeated violations, or when required by law. Where reasonably possible and lawful, we will explain the reason and provide a way to contact support to dispute the decision.

A good-faith billing dispute or accidental issue report is not by itself abuse. Suspension does not automatically forfeit all legitimate credits. We will handle valid unused balances and any refunds in accordance with applicable law and the circumstances of termination.

11. Disclaimers and limits of liability

To the extent permitted by applicable law, Shado is provided as available, without warranties of uninterrupted operation, error-free results, merchantability, fitness for a particular purpose, or non-infringement. You remain responsible for checking outputs and choosing how to use them.

To the extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits arising from use of the service. Our aggregate liability for claims arising from the service is limited to the greater of US$100 or the amount you paid us for Shado in the 12 months before the event giving rise to the claim.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or any liability that applicable law does not allow us to exclude or limit. Nothing here removes mandatory consumer remedies or excuses our own unlawful conduct. A user's acceptance cannot waive the rights of a third party.

12. Third-party claims for business use

If you use Shado on behalf of a business, to the extent permitted by law, that business will indemnify us for reasonable losses and costs from third-party claims caused by its unlawful uploads, infringement, misuse of the service, or material breach of these terms. This obligation does not cover claims to the extent caused by our own breach, negligence, or unlawful conduct.

We will promptly notify the business of a claim, allow it a reasonable opportunity to participate in the defense, and reasonably cooperate. No settlement may admit fault on our behalf or impose obligations on us without our written consent. This business-use provision does not impose a blanket indemnification obligation on consumers.

13. Changes and contact

We will identify revised terms by version and date and request explicit acceptance of material changes before further new paid use. Acceptance is recorded against your signed-in account. Changes do not retroactively alter previously agreed charges or convert valid non-expiring credits into expiring credits.

These terms do not require arbitration or waive class actions. Applicable law determines governing law and jurisdiction, including any mandatory rights to bring claims where you live. Contact Ghost Frames about Shado at hello@ghostframes.ai.
